Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the websites, web applications, and mobile applications operated by MR INNOVATION INC. ("MR Innovation", "we", "us"), a corporation incorporated under the laws of Ontario, Canada (Ontario Corporation No. 1001694854) (collectively, the "Services").

By creating an account, subscribing, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least the age of majority in your jurisdiction, or have the consent of a parent or legal guardian, to use the Services. You are responsible for the accuracy of the information on your account, for keeping your credentials confidential, and for all activity that occurs under your account. Tell us promptly at hello@mrinnovationinc.com if you believe your account has been compromised.

2. Subscriptions, billing, and renewal

Paid Services are sold on a subscription basis unless stated otherwise. The price, billing interval, and currency are shown at checkout before you pay.

• Subscriptions purchased through our website are billed by us through our payment processor, and renew automatically at the end of each billing period until cancelled.
• Subscriptions purchased inside our iOS or Android applications are billed by Apple or Google under their terms. Manage or cancel those through your App Store or Google Play account.
• You may cancel at any time. Cancellation stops future renewals; it does not retroactively cancel a period already paid for. See our Refund & Cancellation Policy.
• We may change prices. For existing subscribers, we will give at least 30 days' notice by email before a price change takes effect, and the change applies from your next renewal.
• Prices exclude applicable taxes unless stated. Where we are required to collect sales tax, GST/HST, VAT, or similar, it is shown at checkout and added to your total.

3. Acceptable use

You agree not to:

• use the Services in violation of any applicable law;
• reverse engineer, decompile, or attempt to extract source code from the Services, except where that restriction is prohibited by law;
• resell, sublicense, or provide the Services to third parties except as expressly permitted;
• interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorised access to any system or data;
• upload or transmit malware, or content that is unlawful, infringing, or harmful.

We may suspend or terminate accounts that breach this section, with notice where it is reasonable to give it.

4. Your content

You retain all ownership of the content and data you submit to the Services ("Your Content"). You grant us a limited, non-exclusive licence to host, store, process, transmit, and display Your Content solely to operate, secure, support, and improve the Services for you. We do not claim ownership of Your Content.

5. Our intellectual property

The Services, including all software, designs, text, graphics, and trademarks, are owned by MR INNOVATION INC. or its licensors and are protected by intellectual property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. No other rights are granted.

6. Third-party services

The Services rely on third-party providers, including payment processing, hosting, and analytics. Your use of a third-party service through the Services may also be governed by that provider's own terms. We are not responsible for third-party services we do not control.

7. Availability and changes

We aim to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services. If we discontinue a paid Service entirely, we will give reasonable notice and refund any prepaid, unused portion of your subscription.

8. Disclaimer of warranties

Except where prohibited by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

9. Limitation of liability

To the maximum extent permitted by law, MR INNOVATION INC. will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Services.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the amount you paid us in the twelve (12) months immediately before the event giving rise to the claim, or (b) CAD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law, including under consumer protection legislation.

10. Indemnity

You agree to indemnify and hold harmless MR INNOVATION INC. and its director, officers, and agents from any claim, damage, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

11. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continuing to provide the Services becomes commercially impracticable. On termination, your right to use the Services ends. Sections that by their nature should survive — including sections 4, 5, 8, 9, 10, and 12 — will survive.

12. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict-of-laws rules. The courts of the Province of Ontario have exclusive jurisdiction, and you consent to venue there. If you are a consumer, this does not deprive you of the protection of mandatory consumer laws of your place of residence.

13. Changes to these Terms

We may update these Terms. If a change is material, we will give notice by email or in the Services before it takes effect. Continuing to use the Services after the effective date means you accept the updated Terms.
